Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Monation website, dashboard, donation widget, and related services (collectively, the “Service”), operated by Menos Labs (“Menos Labs,” “we,” “us”), which provides the Monation service. Monation is a Menos Labs company; we intend to operate it through a wholly-owned subsidiary once that entity is formed. By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent (“you” or “Customer”).

1. The Service

Monation provides software that lets you display a customizable donation widget on your website, configure fundraising campaigns, present giving options to your donors, and view reporting in a dashboard. The Service is a presentation and management layer. It helps donors reach a payment method that you have connected or provided; it does not itself collect, hold, or disburse donations.

2. Monation is not a payment processor

This is important. Monation is not a bank, money transmitter, payment processor, or charitable fundraiser, and does not take custody of donations at any point. Donations are processed by third-party providers that you connect or designate — for example Stripe, PayPal, or an external donation page such as Donorbox, Givebutter, or Every.org. Funds flow directly from your donors to your own accounts with those providers.

3. Accounts & eligibility

You must be at least 18 years old and authorized to act on behalf of your organization. You are responsible for the information you provide, for maintaining the security of your login credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You agree that the information you provide is accurate and that you will keep it current.

4. Fees, billing & pausing

Paid plans are billed as a flat recurring subscription fee at the price shown at sign-up, in advance, on a monthly or annual basis. Your subscription renews automatically until cancelled. Except where required by law, subscription fees are non-refundable, including for partial periods.

Any fees charged by your payment provider for processing donations are separate, are set by that provider, and are your responsibility — not Monation’s.

5. Nonprofit verification

The Service may display a verification indicator (for example, a “verified 501(c)(3)” badge) based on data drawn from third-party and government sources such as the IRS Tax Exempt Organization Search, ProPublica Nonprofit Explorer, or Candid. This information is provided for convenience only.

6. Your content & data

You retain all rights to the content, logos, campaign copy, and donor information you provide (“Customer Data”). You grant Monation a limited, non-exclusive license to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for having the legal right to collect and share donor information and for complying with applicable privacy and data-protection laws. We handle personal data in accordance with our Privacy Policy. We also provide you with first-party analytics about your own widget and Campaign Pages (such as impressions, opens, donations, traffic sources, and conversion rates), measured without cookies or third-party trackers; the underlying aggregate analytics are part of the Service, and we may use aggregated, de-identified statistics to operate and improve it. On termination, you may export your data, after which we may delete it in the ordinary course.

You agree not to use the Service to:

8. Third-party services

The Service integrates with and links to third-party services you choose to connect. We are not responsible for those services, their availability, their fees, or their acts or omissions. Your use of them is governed by their terms, not ours.

9. Intellectual property

The Service, including its software, design, and the Monation name and marks, is owned by Monation and protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service during your subscription. You may not copy, resell, or create derivative works of the Service except as expressly permitted. The “Powered by Monation” attribution may appear on free plans.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure. We do not warrant any particular fundraising result, donation volume, or conversion rate.

11. Limitation of liability

To the maximum extent permitted by law, Monation will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost donations, or lost data, arising out of or relating to the Service. Monation’s total aggregate liability for any claim relating to the Service will not exceed the amount of subscription fees you paid to Monation in the twelve (12) months preceding the event giving rise to the claim. Because Monation does not process or hold donations, we are not liable for donation transactions, payment-provider errors, chargebacks, or misdirected funds.

12. Indemnification

You agree to indemnify and hold harmless Monation and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your fundraising activities, your representations to donors, or your violation of these Terms or applicable law.

13. Termination

You may cancel at any time from your dashboard; cancellation takes effect at the end of your current billing period. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure. Sections that by their nature should survive termination (including fees owed, disclaimers, limitation of liability, and indemnification) will survive.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or an in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of the State of [Delaware], without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in [that state] for any dispute not subject to arbitration, if applicable.
